1. Acceptance of These Terms

These Terms of Service are a binding agreement between you and BluePig Marketing LLC, a company with its principal place of business at 7533 S Center View Ct, West Jordan - 84084-5526, United States (US). By accessing this website, submitting an inquiry or engaging the company for professional work, you agree to these terms and to the Privacy Policy published on this site.

If you act on behalf of an organization, you confirm that you have authority to bind that organization to these terms. If you do not have that authority, or if you do not agree with these terms, please do not use the website or engage the company.

Where a signed proposal, statement of work or master services agreement exists between the company and a client, that document governs the project. These terms fill any gap that the document does not address and apply to the website regardless of any project agreement.

2. Definitions

In these terms, the Company means BluePig Marketing LLC. The Client means the organization or individual that engages the company for services. The Website means the pages served at the domain bluepigmarketing.autos. Services means the integration, design, programming, commissioning, monitoring and support work described on the website or in a proposal. Deliverables means the documents, configurations, drawings, software and reports produced for a client. Equipment means the physical hardware installed or supported at a site.

Site means the physical location where equipment is installed or services are performed. Proposal means the written offer issued by the company that describes scope, schedule and fees. Acceptance means the client signature, purchase order or written confirmation that a proposal is approved.

3. Our Services

The company provides computer integrated systems design services for automated wash lanes, fleet yards and payment points. The practice includes fleet systems integration, automated wash control systems, site network deployment, camera and sensor integration, payment kiosk software, and remote monitoring and alerts.

The website describes the general character of this work. It is not a technical specification for any particular site. The scope of a project is defined only in an accepted proposal or statement of work, and the company is not obliged to perform work outside that scope unless the parties agree in writing.

The company may use subcontractors or specialist partners for defined tasks. The company remains responsible for the quality of the work it contracts, and it will name any subcontractor whose role is material to safety or to the operation of the lane.

4. Proposals and Engagements

A proposal is valid for thirty days from its issue date unless it states otherwise. Prices, schedules and lead times are based on the information available at the time of the proposal and on the availability of equipment from vendors. If a vendor changes a lead time after acceptance, the company will notify the client and propose a revised schedule.

An engagement begins when the client accepts a proposal and, where the proposal requires it, pays the mobilisation deposit. The company may decline an engagement, for example where the site presents a safety risk that cannot be resolved, where the requested work would be unlawful, or where a prior account remains unpaid.

Verbal instructions do not create a change to scope. Work is added only through a written change order signed by both parties, as described in section ten.

5. Use of This Website

The website is provided for information and communication. You may view the pages, print them for your own reference and share links with colleagues. You may not copy the layout, text or visual assets of the website for a commercial product or present them as your own work.

The company aims to keep the website accurate and available, but it does not promise uninterrupted access. Maintenance, provider outages and security events may interrupt the site. The company may change, suspend or retire any part of the website at any time without notice.

Information on the website is general in nature. It is not engineering advice for a specific site and it does not replace a survey, a code review or a professional assessment. Reliance on general website content is at your own risk.

6. Prohibited Conduct

You agree not to misuse the website or the company systems. Prohibited conduct includes attempting to gain unauthorized access to any server, probing for vulnerabilities without written permission, introducing malware, scraping content at a volume that degrades service, impersonating another person, and using the contact form to send unlawful, threatening or misleading material.

You also agree not to use information obtained from the company to interfere with a client site, to bypass a payment system or to disable a safety control. Such conduct may violate civil and criminal law, and the company will report it to the relevant authorities.

The company may block access, remove content and preserve records where it reasonably believes that conduct breaches these terms or creates a security risk.

7. Client Responsibilities

A successful integration depends on cooperation from the client. The client agrees to provide timely access to the site, to accurate drawings and equipment records where they exist, to working power and network connections during agreed windows, and to a named contact who can approve decisions.

The client is responsible for the safety of the site during the work, including traffic control, lockout procedures and any permit required by the local authority. Where the company needs a site induction or a safety briefing before entry, the client will arrange it in advance.

The client confirms that it has the right to authorize work on the equipment and software at the site. If a third party owns or controls part of the system, the client will obtain that party consent before the company begins work.

8. Fees and Payment

Fees are stated in the accepted proposal. Unless the proposal says otherwise, invoices are issued at agreed milestones and are payable within thirty days of the invoice date. The company may request a deposit before mobilisation and may invoice travel and lodging separately where a project requires travel.

Amounts that remain unpaid after the due date may attract a late charge of one and a half percent per month, or the maximum permitted by law if that is lower. The company may suspend work, monitoring or support while an undisputed invoice is overdue, after giving written notice and a reasonable opportunity to pay.

Fees do not include applicable sales, use or similar taxes, which will be added where the law requires. The client is responsible for taxes on equipment and services purchased for the project. If a client disputes part of an invoice, it must pay the undisputed portion on time and raise the dispute promptly in writing.

9. Schedules and Delays

The company will use reasonable skill and effort to meet the schedule in the proposal. Dates depend on factors outside the company control, including equipment lead times, permit approvals, weather, site readiness and the availability of client staff.

If a delay is caused by the client, the company may extend the schedule, recover reasonable additional cost and reschedule the crew, subject to availability. If a delay is caused by the company, the company will propose a recovery plan and will not charge for idle crew time that resulted from its own failure.

Where a delay continues beyond a period stated in the proposal, either party may terminate the affected portion of the work under section nineteen and settle the value of work performed.

10. Changes and Additional Work

A change order is required when the client asks for work that differs from the accepted scope, when site conditions differ materially from the survey, or when a third party requirement forces a redesign. The change order will describe the change, the effect on schedule and the effect on fees.

Work on a change order begins only after the client approves it in writing. The company may perform emergency work without a prior change order where there is an immediate risk to safety or to the operation of the lane, and it will document that work and seek approval as soon as practical.

Minor clarifications that do not change scope, schedule or fees do not require a change order and may be confirmed by email.

11. Commissioning and Acceptance

Commissioning follows a written checklist prepared for the project. The checklist covers normal operation, interlocks, failure paths and alert delivery. The client is invited to observe the tests and to raise concerns while the crew is on site.

Acceptance occurs when the agreed tests pass, or when the client uses the system for its normal business for ten days without raising a material defect in writing, whichever comes first. The company will record the acceptance date and provide a closeout pack that includes the drawings, configuration backups, the alert list and the quick reference card.

Punch list items that remain open at acceptance are recorded with a target date. Acceptance does not waive the warranty in section twelve, and it does not release the company from an obligation to correct a defect that appears later.

12. Warranty

The company warrants that its work will be performed with the skill and care of a competent integration practice and that the deliverables will materially conform to the accepted proposal for a period of ninety days after acceptance, unless the proposal states a longer period.

If a defect covered by this warranty appears, the client will notify the company promptly with enough detail to reproduce the issue. The company will repair or replace the affected work at no charge. If repair is not practical, the company may refund the fees paid for the affected portion of the work.

The warranty does not cover damage from misuse, unauthorized modification, power events outside the specified protection, third party software updates, normal wear of mechanical parts, or work performed by others after handover. Equipment supplied by a vendor carries that vendor warranty, and the company will help the client submit a claim.

Except for the express warranty in this section, the company provides the services without any other warranty, whether express or implied, to the extent that the law permits.

13. Third Party Equipment and Software

Projects often include equipment and software from other vendors. The company does not manufacture that equipment and does not control its design or its firmware. The company selects and integrates third party products in good faith and passes through the vendor warranty to the client where the vendor allows it.

Vendor licenses, subscription terms and data processing agreements are between the client and the vendor unless the proposal says otherwise. The client is responsible for renewing those licenses and for complying with their terms. The company may suspend support for a product whose license has lapsed, after notifying the client.

Where a vendor withdraws support for a product used at the site, the company will recommend a replacement path and quote the work needed to migrate, but it is not liable for the vendor decision itself.

14. Monitoring and Support

Remote monitoring and support are provided under the plan named in the proposal. The plan describes the devices covered, the alert routing, the support hours and the response targets. The company will make reasonable efforts to meet those targets, but response times are estimates rather than guarantees unless the proposal states otherwise.

Monitoring depends on connectivity and on the site remaining powered and reachable. The client agrees to maintain the network path, the power protection and the credentials needed for the company to reach the equipment. The company is not responsible for a missed alert caused by a site outage, a changed password that was not shared or an unauthorized change to the equipment.

The client may cancel a monitoring plan with thirty days written notice. Fees for the current period are not refunded unless the proposal says otherwise. The company may end a monitoring plan if the site poses a safety risk or if invoices remain unpaid after notice.

15. Confidentiality

Each party may receive information that the other treats as confidential. Confidential information includes site drawings, network diagrams, account credentials, pricing, customer lists and internal notes. Each party agrees to use that information only for the project and to protect it with reasonable care.

Confidential information does not include information that is public, that the receiving party already knew without a duty of confidence, that it develops independently, or that it receives from a third party without a duty of confidence. A party may disclose confidential information where the law requires it, after notifying the other party where permitted.

Confidentiality obligations continue for three years after the project ends, and longer for trade secrets and for credentials. On request, each party will return or destroy the other party confidential material, except for one archival copy kept for legal purposes.

16. Intellectual Property

The company retains ownership of its pre-existing tools, libraries, templates, methods and know how. The client receives a perpetual, non-exclusive license to use those elements as embedded in the deliverables for the operation of the site covered by the project.

On full payment, the client owns the site specific drawings, configurations and reports prepared for the project. The company may retain a copy for its records and may use anonymized lessons from the project to improve its methods.

The website, its text, its layout and its visual design remain the property of the company. Third party software remains the property of its licensor. Nothing in these terms transfers ownership of a trademark or a brand.

17. Limitation of Liability

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, including lost profit, lost revenue, lost data or business interruption, arising from the project or the website.

The total liability of the company arising from a project is limited to the fees paid by the client for the work that gave rise to the claim during the twelve months before the claim arose. For use of the website, the company liability is limited to one hundred United States dollars.

Nothing in these terms limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited by law. The parties agree that the limitations in this section reflect a reasonable allocation of risk given the nature of the services and the fees charged.

18. Indemnity

The client agrees to indemnify the company against claims, losses and reasonable legal costs arising from the client content, from a site condition that the client failed to disclose, from the client use of a system in a manner contrary to the operating instructions, or from the client breach of these terms.

The company agrees to indemnify the client against claims that the company work, as delivered, infringes a United States copyright or trade secret, provided that the client notifies the company promptly, allows the company to control the defense and cooperates in good faith. If such a claim occurs, the company may modify the affected work, obtain a license or refund the fees for that work.

Each party will give the other prompt notice of a claim and will not settle a claim in a way that admits fault on the other party behalf without consent.

19. Termination

Either party may terminate a project for convenience with thirty days written notice. On termination, the client pays for work performed and for commitments made to vendors up to the termination date, and the company delivers the work product that has been paid for.

Either party may terminate immediately if the other party commits a material breach and fails to cure it within fifteen days of written notice, or if the other party becomes insolvent. The company may also suspend work immediately where continued work would create a serious safety risk.

Termination does not affect obligations that by their nature survive, including confidentiality, intellectual property, payment for work performed, indemnity and the limitation of liability. The company will cooperate in good faith to hand over site credentials and drawings that the client has paid for.

20. Governing Law and Disputes

These terms are governed by the laws of the State of Utah, United States, without regard to conflict of law rules. The parties will first attempt to resolve a dispute through good faith discussion between senior representatives within thirty days of written notice.

If the dispute is not resolved by discussion, the parties agree to mediation in Salt Lake County, Utah, before filing a claim. If mediation does not resolve the matter, the dispute will be decided in the state or federal courts located in Salt Lake County, and each party consents to the jurisdiction of those courts.

Nothing in this section prevents a party from seeking urgent injunctive relief to protect confidential information or to prevent misuse of a system. The prevailing party in a court action may recover reasonable legal costs where the law allows.

21. General Provisions

These terms, together with an accepted proposal and the Privacy Policy, form the entire agreement between the parties on the subject matter and replace any earlier discussion. A waiver of a breach is not a waiver of any later breach. If a provision is found to be unenforceable, the remaining provisions continue in effect and the unenforceable provision is limited to the minimum extent needed.

The client may not assign a project agreement without the company written consent, except to a successor in a merger or sale of substantially all assets. The company may assign its rights to a successor as part of a corporate transaction.

Notices must be sent to the addresses in section twenty three or to the project contact named in the proposal. A notice sent by email is effective when the sender receives a delivery confirmation, and a notice sent by mail is effective three business days after posting. Headings are for convenience only and do not affect interpretation.

Neither party is liable for a delay caused by an event beyond its reasonable control, provided that the affected party notifies the other promptly and resumes performance as soon as it can.

22. Changes to These Terms

The company may update these terms to reflect a change in its services, its providers or the law. The revised terms will be published on this page with a new effective date. A change does not alter a project agreement that was accepted before the change unless the parties agree in writing.

If you continue to use the website after a revision is published, you accept the revised terms for that use. If you do not accept them, please stop using the website and contact the office with any question about an active engagement.
